PIPEDA Compliance

Confidentiality: The parties acknowledge that personal information disclosed pursuant to the business transaction or agreement is acquired through consent, that such information is confidential and shall be treated in accordance with PIPEDA and any other applicable privacy laws.

Indemnification. Each party shall indemnify and hold harmless the other party and its officers, directors, employees, and agents from and against any and all claims, damages, expenses, and liabilities arising out of or relating to a breach of this Agreement or any applicable privacy laws.
Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the courts of Canada.
Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous negotiations, discussions, agreements, and understandings, whether oral or written, relating to the subject matter hereof.
