GENERAL TERMS AND CONDITIONS
These General Terms and Conditions ("Agreement") govern the use of the services provided by Hiringplug Technologies Inc ("Company", "we," "us," or "our"), a technology platform (“Website”, “Platform”, “Services”) that provides Business to Business recruitment solutions in Canada. By using the Website, you acknowledge that you have read and fully understood these Terms of Service. By accessing or using our services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not access or use our services. The following types of users are recognized as “clients” by the company: 3rd party service providers, recruitment agencies, and potential candidates hereafter known as “users”.
Services
The Company provides recruitment, staffing & Human resource services to businesses & individuals ("Clients") seeking to hire employees for their organizations using the platform & subdomains of www.hiringplug.com. The Company uses various methods to source and screen candidates to match with the Clients' requirements.
Fees
The Company charges fees for its services, which are agreed upon with the Clients on a case- by-case basis. The fees may vary based on several factors which include but are not limited to the nature, tenure and/or complexity of the recruitment services provided.
Confidentiality
The Company recognizes the importance of confidentiality in the recruitment process. The Company will protect the privacy and confidentiality of all information related to the Clients and their job openings. The Company will only share this information with recruitment service providers and prospective candidates, who have been identified as potentially suitable candidates for the job opening.
Limitation of Liability
The Company will not be liable to the Clients or any third party for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of or in connection with the services provided by the Company, except as expressly provided in this Agreement.
Termination
Either party may terminate this Agreement at any time, for any reason, upon written notice to the other party. Upon termination of this Agreement, the Client shall pay all outstanding fees owed to the Company.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the respective provinces and the federal laws of Canada applicable therein.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
Acceptance of Agreement
By accepting the terms herein, you agree to be bound to this Agreement and no additional physical, electronic, or digital signature shall be required. The Agreement is a legally binding document between you and the Company. The terms of this Agreement will be effective upon acceptance by you of the same and will govern the relationship between you and the Company, including with respect to any recruitment facilitated by the website.

"Hiringplug Technologies Inc. expects all employees to conduct themselves in a professional and ethical manner at all times. This includes complying with all applicable laws and regulations, respecting the rights and dignity of fellow employees, clients and customers, and avoiding any conduct that could be construed as harassment, discrimination, or retaliation."
Health and Safety
Hiringplug Technologies Inc. is committed to providing a safe and healthy workplace for all employees. We expect all employees to comply with applicable health and safety regulations, to report any unsafe conditions or practices, and to take appropriate measures to ensure their own safety and the safety of their colleagues.
Password Protection
User Obligations: Hiringplug Technologies Inc. acknowledges that maintaining the confidentiality and security of passwords and user identification ("IDs") is of utmost importance. The User agrees to create a unique and confidential password and ID for accessing the company’s platform and to take all necessary measures to protect the password and ID from unauthorized access.
Non-Disclosure: The User shall not disclose or share their password and ID with any unauthorized individuals or third parties, including but not limited to other employees, contractors, or agents, without prior written consent from The Company.
Security Measures: The Company shall implement reasonable security measures to protect the User's password and ID from unauthorized access, theft, or disclosure. These measures may include, but are not limited to, encryption, secure socket layer (SSL) technology, and regular security audits.
Responsibilities and Liabilities
User Responsibilities: The User acknowledges and agrees that they are solely responsible for the use, protection, and confidentiality of their password and ID. The User shall promptly notify the Company in writing of any actual or suspected unauthorized use of their password or ID. The user acknowledges and unconditionally agrees to comply with the Content standards.
Prohibited Uses
The Users may use the Website only for lawful purposes. The user may not use the Website:
Limitation of Liability: The Company. shall not be liable for any damages, losses, or liabilities arising from unauthorized access, misuse, or disclosure of the User's password or ID, except to the extent caused by the Company's negligence or willful misconduct.
Content Standards
These content standards apply to any and all material which a user and/Content provider contribute to the Website (Contributions), and to any interactive services associated with it. You must comply with the spirit and the letter of the following standards. The standards apply to each part of any Contribution as well as to its whole.

Eligibility
Age Requirement: The Company platform is intended for use by individuals who are 18 years of age or older. By accessing and using the platform, the User represents and warrants that they meet the minimum age requirement.
Legal Capacity: The User further represents and warrants that they have the legal capacity and authority to enter into this agreement and to comply with all its terms and conditions.
Account Registration
Accurate Information: The User agrees to provide accurate, current, and complete information during the account registration process. They shall promptly update any changes to their information to ensure its accuracy.
Non-Transferability: User accounts are non-transferable, and the User shall not allow any other person to access or use their account without express written permission from The Company.
Automatic Consent
Electronic Communication: By accessing and using the Company platform, the User automatically consents to receive communications from the company and its affiliates electronically. Such communications may include, but are not limited to, notifications, updates, newsletters, marketing materials, and other information related to the platform and its services.
Scope of Consent: The User acknowledges that electronic communications may be sent to the email address, mobile and Whatsapp messaging, provided during the subscription or account registration process or through other electronic means available on the platform.
Revocation of Consent: The User has the right to revoke this consent for electronic communication at any time by contacting the Company in writing and clearly indicating their desire to opt-out of electronic communications. However, revoking this consent may limit the User's access to certain features or services provided by the Company.
Automatic Use
Grant of Permission: By accessing and using the the Company’s platform, the User automatically grants the Company, a non-exclusive, worldwide, royalty-free license to use their name, logos, and any other content provided by the User (collectively referred to as "User Content") for the purpose of promoting and conducting the business of the Company.
Scope of Use: The User acknowledges that the Company may use their name, logos, and User Content in various marketing materials, promotional activities, website content, social media platforms, and other business-related communications.
Modification and Adaptation:
Intellectual Property Rights: The User represents and warrants that they have the necessary rights, permissions, and licenses to grant the aforementioned use of their name, logos, and User Content to The Company. The User retains all ownership and intellectual property rights in their name, logos, and User Content, except for the rights expressly granted to the Company. under this Clause.
User's Representations
Accuracy and Legality: The User represents and warrants that their name, logos, and User Content do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party. The User further represents that their name, logos, and User Content are accurate, lawful, and do not contain any misleading or deceptive information.
Indemnification: The User agrees to indemnify, defend, and hold the Company harmless from any claims, liabilities, damages, losses, or expenses arising out of or related to the User's breach of the representations and warranties stated in this Clause.
Content Liability
Client Responsibility: The client, as the uploader of content on The Company platform, acknowledges and agrees that they are solely responsible for the accuracy, acceptability, and authenticity of the content they upload, including but not limited to job postings, candidate profiles, descriptions, and any other materials or information provided.
Accuracy and Authenticity: The client represents and warrants that all content uploaded is accurate, up-to-date, and reflects the true nature of the job or candidate being presented. The client shall not upload any content that contains false, misleading, or fraudulent information.
Unacceptable Content: The client shall not upload content that is inappropriate, offensive, defamatory, discriminatory, illegal, or violates any applicable laws, regulations, or ethical standards. The Company reserves the right to determine, in its sole discretion, the acceptability of a user and/ or the content uploaded to its platform.
Indemnification
Client's Liability: The client agrees to indemnify, defend, and hold The Company. harmless from any claims, liabilities, damages, losses, or expenses arising out of or related to inaccurate, unacceptable, or fraudulent content uploaded by the client. This includes, but is not limited to, claims from third parties, job applicants, or candidates who rely on such content.
Legal Compliance: The client shall comply with all applicable laws, regulations, and industry standards regarding the content they upload on the Company’s platform. The client shall ensure that the content does not infringe upon any intellectual property rights, privacy rights, or any other rights of any third party.
Content Monitoring and Removal
Monitoring: The Company. may, but is not obligated to, monitor the content uploaded by the client to ensure compliance with the terms of this Clause. The Company. reserves the right to remove or disable any content that is inaccurate, unacceptable, undesirable, outdated, fraudulent, or in violation of any applicable laws or regulations.
Notice and Cooperation: If the Company becomes aware of any content that is inaccurate, unacceptable, fraudulent, or in violation of this Clause, the Company may provide notice to the client and request corrective actions or removal of such content or may take immediate action to remove such content at its sole discretion. The client agrees to promptly cooperate with the Company to resolve any issues regarding the uploaded content.
Limitation of Liability
No Warranty of Uninterrupted Service: The client acknowledges and agrees that the Company does not guarantee uninterrupted or error-free operation of its platform. While the Company strives to provide reliable and secure services, technical issues, downtimes, and other unforeseen circumstances may occur that may be beyond its control.
No Liability for Consequences: The Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with any technology, operations, or management related issues, including but not limited to downtimes, viruses, or other similar events that may affect the functionality, performance, or security of its platform.
No Guarantee Against Viruses: The Company. implements reasonable security measures to protect its platform from viruses and malicious attacks. However, the client acknowledges and agrees that the Company does not guarantee that the platform will be free from viruses, malware, or other harmful components, and The Company. shall not be held liable for any damages caused by such viruses or malware.
Client's Responsibilities
Security Measures: The client agrees to take appropriate measures to protect their own systems, networks, and devices from viruses, malware, or any other harmful components that may be transmitted through the use of the Company platform. This includes using up-to-date antivirus software, implementing security protocols, and regularly updating their own systems.
Backup and Recovery: The client is responsible for maintaining appropriate backup copies of their data and content uploaded to the Company’s platform. The Company shall not be liable for any loss or corruption of client data, including but not limited to data loss resulting from tech issues, downtimes, or viruses.
It is the client’s obligation to report all issues, technical bugs or any other issues related to website content immediately.
Force Majeure
Excusable Delays: Neither party shall be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, labor disputes, governmental actions, and technical failures.
Discretionary Acceptance or Denial
The company's discretion: The Company reserves the right to accept or deny any user's access to its platform at its sole discretion at all times. This includes, but is not limited to, the registration and creation of user accounts, utilization of services, and participation in any features or functionalities provided by the Company.
Evaluation Criteria: The Company. may establish criteria and guidelines for user acceptance, which may include factors such as user performance, qualifications, credentials, compliance with applicable laws and regulations, suitability for the platform's objectives, and alignment with the Company's business strategy, policies and practices.
No Obligation to Provide Reasons: The Company is not obligated to provide reasons for accepting or denying user access to its platform. The decision to accept or deny a user shall be made at the sole discretion of The Company. and shall not be subject to challenge or dispute.
Compliance with Laws and Policies
User Compliance: Users shall comply with all applicable laws, regulations, and policies set forth by the Company in order to be considered for acceptance onto the platform. Failure to comply with these requirements may result in the denial of user access.
Release of Liability
No Liability: The Company shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the acceptance or denial of any user. This includes, but is not limited to, any claims, losses, damages, or expenses incurred by the user as a result of acceptance or denial.
PIPEDA
General Compliance: The Company. acknowledges its obligations under the Personal Information Protection and Electronic Documents Act (PIPEDA) and agrees to take all necessary measures to comply with its requirements in relation to the collection, use, and disclosure of personal information of individuals.
User's Responsibility: Users of the Company platform also acknowledge their responsibilities under PIPEDA, particularly in relation to the personal information they provide or handle through the platform.
Reasonable Safeguards: The Company shall implement reasonable administrative, technical, and physical safeguards to protect the personal information collected, used, or disclosed through its platform. However, the Company shall not be liable for any unauthorized access, use, or disclosure of personal information that occurs despite these safeguards, except where such unauthorized access, use, or disclosure results from the negligence or willful misconduct of the Company.
No Liability for User Actions: The Company shall not be held liable for any actions, omissions, or breaches of PIPEDA committed by users or any third parties, including but not limited to any unauthorized collection, use, or disclosure of personal information by users or any security incidents arising from their activities.
Indemnification: Users agree to indemnify, defend, and hold the Company harmless from any claims, liabilities, damages, losses, or expenses arising out of or related to their violation of PIPEDA or any other applicable privacy laws.
Data Storage and Transfer
Consent for Data Storage and Transfer: Users acknowledge and provide consent for the Company to store and process personal information on servers located within and outside of Canada, in accordance with PIPEDA and other applicable privacy laws.
Security of Transferred Data: The Company. shall take reasonable measures to ensure that any personal information transferred outside of Canada is protected with safeguards comparable to those required under PIPEDA, or as otherwise required by applicable laws.

If any terms of this Agreement conflict with any other document/electronic record, the terms and conditions of this Agreement shall prevail, until further change/modifications are notified.
